Terms and Conditions
1. Application of These Terms
These Terms and Conditions apply to all consultancy, advisory, coaching, design, research, psychometric, and learning and development services provided by Avanti Change Ltd, a company registered in England and Wales (company number 16790479) whose registered office is at 35 Robert Street, Ynysybwl, Pontypridd CF37 3DU ("Avanti", "we", "us"). By instructing Avanti to proceed with any engagement, the client ("you") agrees to be bound by these Terms. Confirmation of instructions by email, or any communication indicating agreement to proceed, together with the commencement of work by Avanti, shall constitute acceptance of these Terms and Conditions in full.
2. Scope of Services
Avanti provides consultancy and advisory services including but not limited to organisational design, research, coaching, psychometric assessment, and learning and development activity. Specific engagements may be scoped separately and delivered on a fixed-fee or time-and-materials basis, as agreed in writing prior to commencement.
3. Fees and Rates
| Role | Hourly | Half-Day | Full-Day |
|---|---|---|---|
| Founder | £250 | £850 | £1,500 |
| Senior Consultant | £175 | £450 | £800 |
| Consultant | £125 | £300 | £500 |
| Administrator | £50 | £125 | £250 |
Fees apply to all activity beyond initial scoping, including design, delivery, meeting attendance, ongoing dialogue, research, advice, and report writing. Reasonable expenses (travel, accommodation, refreshments, licensing, room hire, instrument costs, etc.) will be charged in addition. Significant disbursements (e.g. flights, accommodation) requested by Avanti will be paid directly by the client where agreed in advance.
4. Commencement and Termination
Engagements commence on the date these Terms are accepted, or on such other date as agreed in writing. Either party may terminate an ongoing engagement with one month's written notice, unless otherwise agreed.
5. Postponement and Cancellation
This section applies to consultancy and live work for organisations. If you buy an online course as a consumer, the section 'Cancelling an online course' applies instead, and nothing in these terms limits your legal rights as a consumer.
Cancellation or postponement within 14 days (including weekends) of a confirmed commencement/delivery date will incur the full fee.
Cancellation or postponement within 28 days (including weekends) will incur 50% of the fee.
Dates held on a tentative/TBC basis are treated as cancelled or postponed if they fall within the above notice periods, and charged accordingly.
6. Invoicing and Payment
Paying online. When you buy online, you pay the full price at checkout by card, through Stripe. Prices are in pounds sterling and are the full price you pay. Avanti Change Ltd is not registered for VAT, so no VAT is added.
Invoices are payable within 14 days of the invoice date. Late payment entitles Avanti to suspend services immediately and to charge interest on overdue sums at 8% per annum from the invoice date.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and not to disclose it to third parties without consent, except as required by law or obligation.
8. Data Protection
Avanti will process any personal data provided in connection with services in accordance with UK GDPR and the Data Protection Act 2018. Further detail is available in our Privacy Notice.
9. Intellectual Property
Unless otherwise agreed in writing, Avanti retains ownership of its pre-existing methodologies, frameworks, and materials. Client-specific reports and outputs produced under an engagement are licensed to the client for their internal use.
10. Limitation of Liability
This section applies to consultancy and live work for organisations. If you buy an online course as a consumer, the section 'Cancelling an online course' applies instead, and nothing in these terms limits your legal rights as a consumer.
Avanti's liability for any claim arising from services provided shall not exceed the total fees paid for the engagement giving rise to the claim, except in respect of death, personal injury, or fraud, for which liability is not limited.
11. Force Majeure
Neither party shall be liable for delay or failure to perform obligations due to circumstances beyond its reasonable control.
12. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Avanti Academy Certificates
Avanti Academy certificates. When you finish a course at Focus level or above, you can choose a Certificate of Completion, or take a short assessment for a Certificate of Completion and Assessment. To receive a Certificate of Completion and Assessment you need 70% or more in the assessment. You can take it again straight away, as many times as you like. Bitesize courses carry a Certificate of Completion. Signature programmes are closed live in the room, and your certificate follows. Certificates are issued by Avanti Change Ltd as a record of professional development. They are not regulated qualifications. Each certificate has a unique number, and we keep a record of it so we can confirm or reissue it if you ask. We don't offer a public lookup. If you think an assessment result is wrong, email academy@avantichange.com within 30 days, and Dr. Jonathan Huish or Dr Amanda Milliner will review it and reply within 10 working days. We may withdraw a certificate only if an account has been misused, for example by someone else taking the assessment.
You can use a course you buy for 12 months from the day you buy it.
14. Avanti Profiles
Avanti Profiles. When you buy an Avanti profile report, we send you a link to the questionnaire. Where the instrument asks for other people's views, you choose who to invite, and we email them on your behalf; they can decline. Your report is produced online once the responses are in. Raters' individual answers are never shown to you in a way that identifies them. A feedback session can be added for individual instruments. Reports are for development, not for selection, discipline or any decision about someone's employment. Because the questionnaire starts as soon as you open the link, you can cancel within 14 days for a full refund only if you have not yet opened it. We keep your answers and report for two years after the report is issued, then delete them. Raters' answers are kept only as part of that report.
15. Upgrading and Credit
Upgrading and credit. If you buy a course that includes modules from courses you bought in the 12 months before, including courses from other topics, we take off what you paid for those courses, in proportion to how much of each one is in the new course. For a Focus course or above, you always pay at least £15, which covers its assessment and certificate. Free Tasters, and places bought as part of a group of five or more, are not counted. Credit is applied automatically in your basket, is personal to you, cannot be transferred and has no cash value. If you later get a refund on a course whose credit you have already used, we take the credit you used off that refund. If a course is already included in a course you own, or you already have every module in a Bitesize, we will tell you rather than sell it to you again. If you already have every module of a Focus course or above, but not the course itself, you can still buy it to take its assessment and receive its certificate: you pay what is left after your credit, and never less than £15.
Upgrade credit applies only when you buy a course at a higher level than the one you already own (Bitesize, Focus, Explore, Immerse, Flagship). Courses at the same level, or a lower level, do not give credit against each other.
16. Cancelling an online course
Cancelling an online course. If you buy as a consumer, you can cancel within 14 days of buying for a full refund, unless you asked us to start your course straight away and agreed that you would lose this right once it started. Opening any slide of the course starts it. This does not affect your other legal rights, including your right to a repair, replacement or refund if a course is faulty.
17. Using Our Content
Using our content. All Avanti Academy content, including slides, narration, video, transcripts, quick checks and course materials, is owned by Avanti Change Ltd. When you buy a course, we give you a personal, non-transferable licence to view it for your own development. You may not copy, download, record, share, resell or publish any of it, or let anyone else use your account. Organisations buying for a team receive one licence per person named. If these terms are broken, we may suspend access without refund. Quoting short extracts with credit to Avanti Change Ltd, for non-commercial purposes, is fine.
