When you step up to a higher level, what you paid in the last 12 months for lower-level courses inside the bigger course comes off its price, in proportion to how much of each is inside it, whichever topic it's from. About this programme

Overview and Outcomes.

Who It's For

Board members, chairs, trustees and audit committees

Overview

Governing with confidence brings four whole topics together for chairs, board members, trustees and audit committee members. It starts with governance as a discipline in its own right: the board's core duties, the chair and chief executive relationship, the governance professional, and the board's part in strategy, risk and performance. It then moves into the room, with the craft of chairing from agenda to minutes, Kaner's Diamond of Participation and Bion on group dynamics. Assurance follows: the Three Lines Model, internal audit, the audit committee and assurance mapping. Finally it turns to ethics, the Nolan Principles, conflicts of interest, candour and ethical culture, tested against HBOS and Thurrock.

Aims

The aim is to give board members, chairs, trustees and audit committees the judgement to govern rather than manage: to tell assurance from reassurance, to chair and challenge with fairness and skill, and to hold their organisation, and themselves, to the standards of integrity that public trust depends on.

In summary, you will be able to:

  1. Explain the distinct roles of the board, chair, chief executive, governance professional and audit committee, and how each contributes to strategy, oversight and accountability.
  2. Assess whether your board is receiving assurance rather than reassurance, using assurance mapping, the Three Lines Model, internal control and well-designed reporting.
  3. Lead board and committee business with fairness and integrity, chairing discussion well, handling interests and dissent, and building an ethical culture the organisation can see.

What you'll develop

Through the programme, you will be able to:

  1. Distinguish a governance question from a management question and explain the board's eight core duties in plain terms.
  2. Explain what integrated reporting combines and assess a board report against the standard of concise, reliable, strategically focused and visible.
  3. Identify which of Lencioni's four meeting types fits a conversation and recognise the common signs of a mismatch.
  4. Explain the four jobs that minutes do and identify what good minutes should contain, including brief evidence of challenge.
  5. Describe the structure of the Global Internal Audit Standards and the role they give the board or audit committee in governing internal audit.
  6. Apply the four lenses of evidence, independence, the committee and map, and fraud and voice to analyse a governance failure fairly, without implying individual wrongdoing.
  7. Distinguish a code of conduct, which sets minimum standards, from a behavioural framework, which describes what good looks like.
  8. Apply the programme's ethical themes, from blind spots to culture, to analyse a real or illustrative case.
