About this course

Overview and Outcomes.

Overview

Governance is not management wearing a suit, and this module sets out why governance is a discipline in its own right. It covers the board's eight core duties, Garratt's strategic board and the tension between conformance and performance, agency, stewardship and stakeholder theory, Galbraith's star model, committees and delegation, the Cadbury Report, the Nolan Principles and assurance as trust built on evidence, with the John Lewis Partnership as a case.

What you'll develop

In this Bitesize, you will develop the ability to:

  1. Distinguish a governance question from a management question and explain the board's eight core duties in plain terms.
  2. Use Garratt's strategic board and Galbraith's star model to assess whether a board's roles and structure are coherent and deliberately chosen.
  3. Apply the Nolan Principles and the difference between assurance and reassurance when deciding whether a risk or control is genuinely under control.
