Overview and Outcomes.
Overview
Administrator is the job title, strategic partner is the job. This module explores how the governance professional, whether company secretary, clerk or head of governance, has moved from minute taker to trusted adviser and a vital bridge between board and executive. Drawing on Kakabadse's Henley study, it covers four capabilities, the roles of alignment, influence, diplomacy and trust, the working triumvirate, why independence matters, and how Enron and Sarbanes-Oxley professionalised the role.
What you'll develop
In this Bitesize, you will develop the ability to:
- Explain how the governance professional role has moved from administration to strategic partnership, and identify the four capabilities it now requires.
- Describe the four roles within the role, alignment, influence, diplomatic judgement and trust, and recognise them in practice.
- Assess whether a governance professional's reporting line protects the independence the working triumvirate depends on.
